Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the payroll software platform (“Platform”) operated by Taneja Helix One Inc. (“Company,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use the Platform.

If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

The Platform provides payroll calculation tools, payslip generation, tax document generation (including W-2 and T-4 forms), and payroll-related CSV exports.

The Platform:

• Does NOT process or transfer funds

• Does NOT make tax payments on your behalf

• Does NOT provide legal, tax, or accounting advice

You remain solely responsible for:

• Filing payroll taxes

• Submitting tax documents to government authorities

• Remitting payroll deductions

• Ensuring compliance with applicable laws

3. Employer Responsibility

You acknowledge and agree that:

• All payroll inputs (employee data, wages, deductions, tax elections) are provided by you.

• You are solely responsible for the accuracy and completeness of that data.

• Any penalties, interest, or liabilities arising from incorrect data are your responsibility.

The Company is not responsible for errors caused by inaccurate or incomplete information submitted by users.

4. Compliance Disclaimer

While the Platform is designed to support payroll calculations across U.S. states (+DC) and selected Canadian provinces (Alberta, British Columbia, Ontario), laws and regulations change frequently.

We do not guarantee that calculations will always reflect the most current tax rules at the exact time of use.

You agree to independently verify compliance obligations.

5. Account Registration & Security

You agree to:

• Provide accurate registration information

• Maintain the confidentiality of login credentials

• Notify us immediately of unauthorized access

You are responsible for all activity under your account.

6. Fees & Payments

If applicable:

• Subscription fees are billed in advance.

• Fees are non-refundable except as required by law.

• We reserve the right to modify pricing with prior notice.

Failure to pay may result in account suspension or termination.

7. Acceptable Use

You agree not to:

• Use the Platform for unlawful purposes

• Upload false or fraudulent payroll information

• Attempt to reverse engineer or exploit the system

• Interfere with system security or performance

We reserve the right to suspend accounts violating these Terms.

8. Intellectual Property

All software, features, design, and content of the Platform are the exclusive property of the Company.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for internal business purposes.

9. Data Ownership

Employers retain ownership of payroll data submitted to the Platform.

The Company processes payroll data as a service provider.

Upon termination, you may request a data export within [30] days.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted access.

We may perform maintenance or updates without liability for temporary service interruptions.

11. Termination

We may suspend or terminate access if:

• You violate these Terms

• You fail to pay applicable fees

• Required by law

You may terminate your account at any time.

12. Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE.”

We disclaim all warranties, express or implied, including:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

We do not guarantee error-free calculations.

13. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for:

• Indirect or consequential damages

• Lost profits

• Tax penalties

• Government fines

• Data loss

Our total liability shall not exceed the amount paid by you in the preceding 12 months.

14. Indemnification

You agree to indemnify and hold harmless the Company from claims arising from:

• Inaccurate payroll data

• Failure to remit taxes

• Misuse of the Platform

15. Governing Law

These Terms shall be governed by the laws of:

without regard to conflict of law principles.

16. Changes to Terms
